General Terms and Conditions of Cooperation

1. General provisions
These Rules and Regulations set out the terms and conditions for the use of services provided by Nexteen, based at 11/4 Św. Jana St.; 40-012 Katowice. Users using our services are required to read and abide by the following rules. By “User” is meant any natural or legal person who uses Nexteen's services.

2 Scope of Services
Nexteen provides IT consulting, cyber security consulting, business excellent, business process automation, IT technical support (HelpDesk), IT strategic consulting (Virtual CIO), and employee satisfaction and motivation services. 3 Terms of Use of the Services
The User undertakes to:

  • Comply with applicable laws and these Terms and Conditions.

  • Not to take actions that could interfere with the proper functioning of the services provided.

  • To provide accurate, complete and up-to-date information necessary for Nexteen to provide the Services.

4 Conclusion of Agreement and Payment Terms
The use of Nexteen's services requires the conclusion of an agreement, which specifies the detailed terms of cooperation. The contract may be concluded in writing or electronically.

Fees for services are determined individually for each client based on the scope of services provided. There are two ways of billing:

 

  • Services on a flat fee basis: Flat fees are payable in advance on the first working day of a new month for services rendered during the period.

  • Projects billed in stages: For services billed on a project basis, payment is divided into three parts:

 

  • A prepayment of 40% of the total project value, payable before implementation begins.

  • Second payment of 30% of the project value, payable on the date of service delivery.

  • Third payment of 30%, payable 30 days after service delivery.

Invoices are issued according to the payment schedule and are payable by the date indicated on the invoice. Failure to make timely payment may result in suspension or termination of services.

All bank costs associated with the transfer are on the side of the User.

5 Obligations of Nexteen
Nexteen undertakes to provide services in accordance with the contract and in the best faith. In particular:

  • Services will be provided with due diligence and in accordance with applicable industry standards.

  • Information and data provided by the User will be protected in accordance with Nexteen's Privacy Policy.

6 Intellectual Property Rights.
All materials, documents, tools and software used or provided by Nexteen in the provision of the Services are subject to intellectual property rights and remain the property of Nexteen or its respective licensors. You are not authorized to copy, distribute or use these materials without the prior consent of Nexteen.

7 Liability
Nexteen shall not be liable for any damages resulting from:

  • User's failure to comply with these Terms and Conditions.

  • External incidents beyond Nexteen's control, such as cyber-attacks, external system failures or force majeure.

Nexteen undertakes to minimize possible service interruptions and to respond promptly to customer reports of technical problems.

8 Suspension or Termination of Services.
Nexteen reserves the right to suspend or terminate the Services if the User:

  • Violates the terms of these Terms and Conditions.

  • Fails to make timely payments for services.

  • Takes actions that may harm Nexteen or other Users.

9 Privacy Policy
The use of Nexteen's services involves the processing of personal data, which is protected in accordance with Nexteen's Privacy Policy available on our Privacy Policy website.

10 Final Provisions
These Terms and Conditions may be updated at any time. Any changes will be published on our website and will become effective upon publication.
In matters not covered by these Terms and Conditions, the provisions of Polish law shall apply.
